Laek Limited - Remote Control© version 2.0 Software License Agreement (SLA).

1. This SLA is an agreement between the Licensor (Laek Limited) and the Licensee (the organisation and/or the individual agreeing to the SLA), who is being licensed to use Remote Control© version 2.0 (the Software) for evaluation purposes.
2. The Licensee acknowledges that this SLA is only a limited nonexclusive license. The Licensor is and remains the owner of all titles, rights, and interests in the Software.
3. The Licensee acknowledges that the Software is a beta version provided Free of Charge for evaluation purposes. The Licensee acknowledges the evaluation period will be for 3 calendar months only from date of download of the Software.
4. This SLA permits the Licensee to install and deploy the Software as required within a trusted network, as long as the Software will not be used on more than one trusted network simultaneously. The Licensee will not make copies of the Software or allow copies of the Software to be made by others, unless authorized by this SLA. The Licensee may make copies of the Software for backup purposes only.
5. The Software is subject to a limited warranty. The Licensor warrants to the Licensee that the Software will perform according to its printed documentation, and to the best of the Licensor's knowledge the Licensee's use of the Software according to the printed documentation is not an infringement of any third party's intellectual property rights. This limited warranty lasts for a period of 30 days after download. To the extent permitted by law, THE ABOVE-STATED LIMITED WARRANTY REPLACES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AND THE LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, NONINFRINGEMENT, OR OF FITNESS FOR A PARTICULAR PURPOSE. No agent of the Licensor is authorised to make any other warranties or to modify this limited warranty.
6. In case of a breach of the Limited Warranty, the Licensee's exclusive remedy is as follows: the Licensee will return all copies of the Software to the Licensor, at the Licensee's cost, and will cease all use of the Software.
7. Notwithstanding the foregoing, THE LICENSOR IS NOT LIABLE TO THE LICENSEE FOR ANY DAMAGES, INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, CONNECTED WITH OR RESULTING FROM THIS SOFTWARE LICENSE AGREEMENT OR THE LICENSEE'S USE OF THE SOFTWARE.
8. The Licensee agrees to defend and indemnify the Licensor and hold the Licensor harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from the Licensee's business operations.
9. The Licensor has the right to terminate this SLA and the Licensee's right to use the Software upon any material breach by the Licensee.
10. The Licensee agrees to return to the Licensor or to destroy all copies of the Software upon termination of the SLA.
11. This SLA is the entire and exclusive agreement between the Licensor and the Licensee regarding the Software. This SLA replaces and supersedes all prior negotiations, dealings, and agreements between the Licensor and the Licensee regarding the Software.
12. This SLA is valid without the Licensor's signature. It becomes effective upon the earlier of the Licensee's signature or the Licensee's download of the Software.
